Terms of Sale.
These Terms of Sale (Conditions Générales de Vente) govern production services provided by Nelivate Studio to its clients and agency partners. They apply unless a signed agreement states otherwise.
1. Scope
These terms apply to all quotes, orders and services provided by Nelivate Studio (motion, UI/UX, web, 3D and creative development). Placing an order implies full acceptance of them.
2. Quotes & orders
Each project is defined in a written quote (devis) setting out scope, deliverables, timeline and price. A quote becomes an order once accepted in writing and any required deposit is paid.
3. Prices & payment
Prices are as stated in the quote, exclusive of tax unless indicated. Unless agreed otherwise, [deposit %]% is payable to start and the balance on delivery. Invoices are due within [payment term] days; late payment may incur interest at the legal rate.
4. Deliverables, timelines & revisions
Timelines are estimates that depend on timely feedback and materials from the client. The quote states the number of revision rounds included; further changes are quoted separately.
5. Client obligations
The client provides the briefs, assets, approvals and information needed, and holds the rights to any material supplied to us. Delays in providing these extend timelines accordingly.
6. Intellectual property
On full payment, ownership of the final delivered assets transfers to the client. Pre-existing tools, source project files and third-party assets remain governed by their own licences. Nelivate Studio may show the work in its portfolio unless a confidentiality/white-label agreement states otherwise.
7. Confidentiality
Each party keeps the other’s confidential information private. We are happy to sign an NDA before receiving confidential material.
8. Liability
Our liability is limited to the amount paid for the project concerned and excludes indirect or consequential loss. We are not liable for delays caused by the client or by events beyond our control.
9. Termination
Either party may end a project for material breach not remedied within [notice] days. Work completed and costs committed up to termination remain payable.
10. Governing law
These terms are governed by [governing law / country]; disputes fall under the jurisdiction of the courts of [jurisdiction].
